These Terms of Service ("Terms") govern your use of the websites, applications, and services provided by Empire Sales Group USA Corp, doing business as 3mpire, Empire VoIP, and Empire Telecom ("we," "us," or "our"), including but not limited to 3mpire.ai, 3mpire.ai/voip, empiretelecom.us, and the Empire VoIP cloud phone platform (collectively, the "Service").
By creating an account or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.
2. Description of Service
Empire VoIP provides cloud-based business communications including:
- Voice Calling: Inbound and outbound HD voice calls over the internet (VoIP)
- Business SMS/MMS: Text messaging from your business phone number
- AI Voice Agents: AI-powered agents that handle calls, route callers, and schedule appointments
- Business Email: Professional email with your domain
- Voicemail: Custom voicemail greetings and message management
- Calendar & Scheduling: Appointment scheduling integrated with your phone system
- Phone Numbers: Local and toll-free number provisioning with E911 support
- Brand Ambassador Program: Represent the 3MPIRE brand with your dedicated number, earn referral rewards, and grow your network
3. Brand Ambassador Program
3MPIRE offers a Brand Ambassador Program that enables registered users to represent the 3MPIRE brand in their professional communications and earn referral rewards.
- Ambassador Role: By joining the Ambassador Program, you are designated as an official 3MPIRE brand ambassador. You are assigned a dedicated phone number and represent the 3MPIRE platform when communicating with prospects, clients, and contacts.
- Communication Standards: As a brand ambassador, all voice and SMS communications from your assigned number are sent on behalf of the 3MPIRE platform. You agree to identify yourself as a 3MPIRE ambassador and maintain professional communication standards.
- Referral Program: Ambassadors may earn rewards by referring new users to the platform through their unique referral link. Referral terms and reward details are available in your account dashboard.
- Compliance: Ambassadors must comply with all applicable laws, our Acceptable Use Policy, and carrier messaging guidelines. Messaging activity is monitored for compliance. Violation of these standards may result in removal from the program and account suspension.
- Brand Guidelines: You may not misrepresent your affiliation with 3MPIRE or make unauthorized claims on behalf of the company. You are authorized to use the 3MPIRE name solely in connection with your ambassador activities on the platform.
4. Account Responsibilities
You are responsible for all activity that occurs under your account. You agree to:
- Provide accurate business and personal information during registration
- Maintain a valid E911 registered address for each phone number
- Keep your login credentials secure and notify us immediately of unauthorized access
- Comply with all applicable federal, state, and local laws
5. Acceptable Use Policy
You agree NOT to use the Service to:
- Make robocalls, autodialed calls, or send unsolicited bulk messages (spam)
- Engage in fraud, phishing, impersonation, or deceptive practices
- Harass, threaten, or abuse any person
- Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable law
- Transmit malware, viruses, or any harmful code
- Interfere with or disrupt the Service or its infrastructure
- Resell or redistribute the Service without our written consent
- Use AI voice agents to deceive recipients about the nature of the call (AI agents must comply with applicable disclosure requirements)
- Send SMS messages containing prohibited content including but not limited to: illegal services, controlled substances, deceptive claims, or content that violates carrier acceptable use policies
All platform activity, including messaging, is subject to compliance monitoring. We reserve the right to suspend or terminate your account immediately for any violation of this policy.
6. SMS/Messaging Terms
By using our SMS features, you agree to:
- Obtain proper consent from recipients before sending any SMS messages, in compliance with TCPA and 10DLC requirements
- Honor all opt-out requests immediately — recipients may reply STOP at any time to unsubscribe
- Not send messages that contain prohibited content (illegal services, deceptive claims, unsolicited bulk messaging, etc.)
- Comply with carrier guidelines, messaging throughput limits, and platform acceptable use policies
- Accept that messaging activity is monitored for compliance and abuse prevention
Message frequency varies based on your use case. Standard message and data rates may apply to recipients. For SMS support, recipients can reply HELP or call (813) 738-0469.
7. AI Voice Agent Disclosure
Our platform includes AI-powered voice agents that can make and receive phone calls on your behalf. By using this feature, you acknowledge and agree that:
- AI agents may be used to interact with your customers and prospects
- You are responsible for ensuring AI agent usage complies with all applicable laws, including any required disclosures
- Call recordings and transcripts generated by AI agents are stored in accordance with our Privacy Policy
- AI agent responses are generated automatically and may not always be perfectly accurate
8. Call Recording
Certain features of the Service may record phone calls for quality assurance, training, and analytics purposes. By using the Service, you acknowledge that calls may be recorded and agree to comply with all applicable call recording laws, including obtaining consent from call participants where required by law (e.g., two-party consent states).
9. Billing & Payment
- The Service may include monthly subscription fees and usage-based charges (per-minute calling, per-message SMS, phone number fees)
- All fees are billed in US dollars and are non-refundable unless otherwise stated
- We reserve the right to change pricing with 30 days advance notice
- Failure to pay may result in suspension or termination of your account
- You are responsible for all applicable taxes
10. E911 Emergency Services
Empire VoIP provides E911 service for emergency calling. You must register a valid physical address for each phone number. You understand that:
- VoIP-based E911 may have limitations compared to traditional 911 service
- E911 may not function during power outages, internet outages, or service disruptions
- You are responsible for keeping your registered address current
- We are not liable for any failure of E911 services due to circumstances beyond our control
11. Intellectual Property
All content, software, trademarks, and materials associated with the Service are owned by Empire Sales Group USA Corp or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.
12. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or service interruptions.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPIRE SALES GROUP USA CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless Empire Sales Group USA Corp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
15. Termination
Either party may terminate this agreement at any time. You may close your account by contacting us. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
16. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. For material changes, we will notify you via email or through the platform.
17. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Hillsborough County, Florida.
